BY SUBMITTING AN ENTRY, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES, WHICH FORM A BINDING LEGAL CONTRACT BETWEEN YOU AND SPONSOR. THESE OFFICIAL RULES CONTAIN A MANDATORY INFORMAL RESOLUTION REQUIREMENT, A MANDATORY PRE ARBITRATION MEDIATION REQUIREMENT, AN AGREEMENT TO RESOLVE ALL DISPUTES BY BINDING INDIVIDUAL ARBITRATION, A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, A WAIVER OF ANY RIGHT TO REVIEW, AUDIT, INSPECT OR CHALLENGE THE ENTRY PROCESS, THE WINNER SELECTION PROCESS, THE SELECTION METHODOLOGY OR THE RESULTS, A ONE YEAR LIMITATIONS PERIOD, AND LIMITATIONS ON THE REMEDIES AVAILABLE TO YOU. Sponsor: Kellwood Company, LLC, a Delaware limited liability company, doing business as Democracy Clothing, 13071 E. Temple Ave, City Of Industry, CA 91746 ("Sponsor"). The Ultimate Fall Fit Sweepstakes (the "Sweepstakes") is administered by Sponsor or its designated administrator and is governed by these Official Rules and by all applicable federal, state and local laws and regulations.

1. ELIGIBILITY

A. The Sweepstakes is open only to natural persons who are legal residents of the fifty (50) United States or the District of Columbia, who are physically located in the United States at the time of entry, who are at least eighteen (18) years of age, and who have reached the age of majority in their state or jurisdiction of residence at the time of entry. Entries submitted by or on behalf of any other person, by any entity, or by any organized group are void.

B. The following persons are not eligible to enter or win: employees, officers, directors, members, managers, contractors and interns of Sponsor; Sponsor's parent companies, subsidiaries, affiliates, licensees, distributors, retailers, fulfillment vendors, advertising, media, digital, public relations and promotion agencies; the participating television stations and their respective parent companies, affiliates, subsidiaries and station groups; any person or entity involved in the development, production, administration, judging, fulfillment or promotion of the Sweepstakes; and the immediate family members (spouse, domestic partner, parent, stepparent, child, stepchild, sibling, stepsibling, and the respective spouses of each) and household members of any of the foregoing, whether or not related.

C. Eligibility, identity, age and residency are subject to verification by Sponsor in its sole discretion by any lawful means, including request for government issued identification, proof of address, or a sworn declaration. Failure or refusal to provide requested verification within the time specified by Sponsor is grounds for disqualification.

D. Limit one (1) entry per person for the entire Sweepstakes Period, regardless of the number of email addresses, telephone numbers, mailing addresses, devices or accounts a person controls. Sponsor's determination of the identity of an entrant is final and binding.
E. The Sweepstakes is void in Puerto Rico, all other United States territories and possessions, all locations outside the United States, and in any jurisdiction in which the Sweepstakes as structured would require registration, bonding, trust account, filing, fee or other regulatory step that Sponsor has not completed. Void where prohibited or restricted by law.

2. SWEEPSTAKES PERIOD
The Sweepstakes begins on September 28, 2026 at 12:00:01 a.m. Pacific Time and ends on October 31, 2026 at 11:59:59 p.m. Pacific Time (the "Sweepstakes Period"). All entries must be received during the Sweepstakes Period. The computer, server and database designated by Sponsor are the official timekeeping and record keeping devices for the Sweepstakes, and Sponsor's records are dispositive and final as to the timing, receipt, content and validity of all entries. Participating television stations may promote the Sweepstakes on different schedules and in different rotations, but no promotion, advertisement, broadcast mention, social media post or station schedule extends, shortens or otherwise modifies the Sweepstakes Period. Sponsor has no obligation to extend the Sweepstakes Period for any reason, including any technical failure, outage or delay.

3. HOW TO ENTER
A. During the Sweepstakes Period, visit the official Sweepstakes landing page accessible through DemocracyClothing.com or through a link or QR code provided by a participating television station, complete the entry form in full, affirmatively accept these Official Rules, and submit the form. Required information consists of the entrant's first and last name, a valid email address that the entrant owns or is authorized to use, a valid telephone number, and a complete physical mailing address in the United States, including street address, city, state and ZIP code. Post office boxes may be accepted for correspondence but a deliverable street address may be required for prize fulfillment.

B. The information collected at entry is used to verify eligibility, associate the entry with the appropriate participating market by ZIP code, administer the Sweepstakes, contact and verify potential winners, fulfill prizes, and satisfy tax and recordkeeping obligations, as further described in Section 11.

C. No purchase, payment, subscription, transaction or marketing consent is necessary to enter or win, and none will improve an entrant's chances of winning. Because no purchase or payment of any kind is required to enter, no alternate method of entry is offered or required. Any consent to receive marketing email, text messages or other promotional communications is presented separately from the entry mechanic, is entirely optional, and is not a condition of entry or of winning.

D. Entries that are incomplete, illegible, inaccurate, late, lost, misdirected, garbled, corrupted, duplicative, submitted by any means other than as described above, or submitted through the use of any macro, script, bot, robotic, automated or programmed method, third party entry service, sweepstakes club, incentive program, or any other device or artifice to enter or receive multiple entries are void and will be disqualified. Any attempt to obtain more than the permitted number of entries, including through the use of multiple or false identities, email addresses, telephone numbers, mailing addresses, accounts, devices, proxies or virtual private networks, voids all of that person's entries and may result in permanent disqualification from this and future Sponsor promotions.

E. All entries become the property of Sponsor upon submission and will not be acknowledged or returned. Proof of submission or transmission does not constitute proof of receipt by Sponsor. Sponsor reserves the right, in its sole discretion, to reject or disqualify any entry that Sponsor determines does not comply with these Official Rules.

4. PARTICIPATING MARKETS AND MEDIA PARTNERS
A. The Sweepstakes is promoted in connection with Democracy Clothing television and digital campaign activity in the Austin, Cincinnati, Denver, Las Vegas, Nashville and Salt Lake City markets. Media properties expected to promote the Sweepstakes include KTNV and Morning Blend (Las Vegas), FOX19 (Cincinnati), WSMV and Today in Nashville (Nashville), ABC4 and Good Things Utah (Salt Lake City), the participating CBS affiliate (Austin) and FOX31 (Denver). The identity of participating media properties may change without notice and without amendment of these Official Rules.

B. Participating television stations and media partners are promotional partners only. Unless a party is expressly identified as "Sponsor" in these Official Rules, that party is not a sponsor, promoter, administrator or judge of the Sweepstakes and has no responsibility or liability for entry collection, eligibility determination, winner selection, winner verification, prize fulfillment, prize value, taxes or any other aspect of the Sweepstakes.

C. No participating television station, media partner, agency, retailer, employee or representative has authority to modify, waive, interpret or supplement these Official Rules. Only Sponsor may amend these Official Rules, and only in a writing posted to the official Sweepstakes landing page. In the event of any conflict or inconsistency between these Official Rules and any advertisement, broadcast, on air mention, social media post, email, point of sale material, landing page copy, abbreviated rules or other Sweepstakes communication, these Official Rules govern and control in all respects.

5. WINNER SELECTION, ODDS AND FINALITY OF DETERMINATIONS
A. On or about November 4, 2026, Sponsor or its designated administrator will select one (1) potential Grand Prize winner for each of the six (6) participating markets identified in Section 4A, in a random drawing from among all eligible entries associated with that participating market received during the Sweepstakes Period. Odds of winning depend on the total number of eligible entries received for the applicable participating market.

B. All determinations of Sponsor concerning eligibility, entry validity, entry counts, identity, market assignment, drawing administration, winner selection, verification, disqualification, prize fulfillment, forfeiture and the interpretation and application of these Official Rules are final, conclusive and binding on all entrants in all respects and are not subject to challenge, appeal or review in any forum.

EACH ENTRANT KNOWINGLY AND VOLUNTARILY WAIVES, RELEASES AND GIVES UP ANY AND ALL RIGHT TO REVIEW, AUDIT, INSPECT, MONITOR, OBSERVE, RECEIVE, OBTAIN, DISCOVER OR CHALLENGE, IN ANY FORUM AND BY ANY MEANS: THE ENTRY RECORDS OR ENTRY DATA OF ANY PERSON; THE TOTAL NUMBER OF ENTRIES RECEIVED; THE IDENTITY OF ANY ENTRANT; THE DRAWING ITSELF; THE SOFTWARE, ALGORITHM, RANDOMIZATION METHOD, VENDOR, PROCESS, CRITERIA OR METHODOLOGY USED TO CONDUCT THE DRAWING OR TO DETERMINE ELIGIBILITY OR TO SELECT, VERIFY OR DISQUALIFY ANY POTENTIAL WINNER; ANY INTERNAL DELIBERATION, COMMUNICATION, WORK PRODUCT OR RECORD RELATING TO ANY DETERMINATION; AND THE BASIS, REASONING OR RATIONALE FOR ANY DETERMINATION MADE BY SPONSOR OR ITS ADMINISTRATOR. SPONSOR HAS NO OBLIGATION WHATSOEVER TO DISCLOSE, EXPLAIN, PRODUCE, CERTIFY, SUBSTANTIATE OR ACCOUNT FOR ANY OF THE FOREGOING TO ANY ENTRANT, TO ANY POTENTIAL WINNER, OR TO ANY PERSON ACTING ON THEIR BEHALF, AND NO ENTRANT ACQUIRES ANY CONTRACTUAL, EQUITABLE, STATUTORY OR OTHER RIGHT TO ANY SUCH DISCLOSURE BY ENTERING THE SWEEPSTAKES.

C. Sponsor is not required to award a Grand Prize for a given participating market if, in Sponsor's determination, no eligible entry associated with that participating market is received or no potential winner for that participating market satisfies the verification requirements of Section 7 after selection of the permitted number of alternates.

6. PRIZE

A. One (1) Grand Prize is available for each of the six (6) participating markets identified in Section 4A, for a total of six (6) Grand Prizes, each consisting of: (i) a One Thousand Dollar ($1,000.00) Democracy Clothing fall shopping award, fulfilled in the form of a Democracy Clothing electronic gift card valid for one (1) year from the date of issuance, with the expiration date disclosed on or with the gift card at the time of issuance; and (ii) one (1) virtual styling session of approximately one (1) hour conducted by video conference with Democracy Clothing's Head Jean Whisperer or another stylist designated by Sponsor, subject to availability and to mutually agreeable scheduling. Approximate retail value of the Grand Prize: One Thousand Dollars ($1,000.00). Approximate total retail value of all six (6) Grand Prizes: Six Thousand Dollars ($6,000.00). The virtual styling session has no separate retail or cash value and is not redeemable for cash or merchandise.

B. Each prize is awarded "as is" and without warranty of any kind, express or implied, by Sponsor. To the extent permitted by law, Sponsor disclaims all warranties with respect to each prize, including any implied warranty of merchantability or fitness for a particular purpose. Any manufacturer or issuer warranty accompanying a prize component is the sole recourse of the applicable winner with respect to that component.

C. Each prize is personal to the applicable verified winner, is nontransferable, and may not be assigned, sold, auctioned, bartered, exchanged or substituted by the winner, and may not be redeemed for cash. Sponsor reserves the right, in its sole discretion, to substitute a prize or any prize component of equal or greater value if the advertised prize or component becomes unavailable or impracticable to award for any reason. No difference between the stated approximate retail value and the actual value of any prize will be awarded.

D. Redemption of the gift card is subject to product availability, size availability, exclusions, the terms of the DemocracyClothing.com website, and the terms printed on or delivered with the gift card. Each gift card is not reloadable and, once expired, has no value and will not be replaced, extended or reissued. Each virtual styling session must be scheduled and completed within ninety (90) days after the date the applicable winner is confirmed, or it is forfeited without substitution. Each winner is solely responsible for internet access, hardware, software and any other equipment necessary to participate in the virtual styling session.

E. All federal, state, provincial and local taxes on each prize, and all costs, fees and expenses not expressly stated above as included, are the sole responsibility of the applicable winner. Because the approximate retail value of each Grand Prize exceeds Six Hundred Dollars ($600.00), each winner will be required to complete and return a valid Internal Revenue Service Form W-9 (or such other tax documentation as Sponsor may require) as a condition of receiving that winner’s prize, and Sponsor will issue an Internal Revenue Service Form 1099 or other information return as required by law with respect to each winner. Failure by a winner to return required tax documentation within the period specified by Sponsor results in forfeiture of that winner’s prize.

F. Only the number of prizes stated in these Official Rules will be awarded. In the event of a printing, production, programming, human, distribution, mechanical or other error of any kind that causes more prizes to be claimed than the number stated above, Sponsor reserves the right to award the stated number of prizes by random drawing from among all valid and eligible claims received, and no entrant or claimant has any right or claim to a prize in excess of the number stated in these Official Rules.

7. WINNER NOTIFICATION AND VERIFICATION
A. Each potential winner will be notified at the email address provided at entry and must respond to that notification within three (3) business days after the date the notification is sent. Sponsor may, but is not required to, attempt additional contact by telephone or mail. Sponsor is not responsible for any notification that is not received, is filtered, is directed to a spam or promotions folder, or is returned undeliverable for any reason.

B. As a condition of receiving that winner’s prize, each potential winner may be required to execute and return, within five (5) business days after the date the documents are sent, an affidavit or declaration of eligibility, a liability release, a publicity release where lawful, an IRS Form W-9, and any other documentation Sponsor reasonably requires, and to provide proof of identity, age and residency satisfactory to Sponsor.

C. A potential winner may be disqualified, and that winner’s prize forfeited, if the potential winner cannot be contacted, fails to respond within the time stated, fails to return required documentation fully executed and within the time stated, is found to be ineligible, declines the prize, refuses to provide verification, is found to have violated these Official Rules, or if the prize or any prize notification is returned as undeliverable. In the event of forfeiture, Sponsor may, in its sole discretion, select an alternate potential winner for the applicable participating market by random drawing from among the remaining eligible entries associated with that participating market, up to three (3) alternates, after which Sponsor has no further obligation to award that Grand Prize.

D. No entrant is a winner of any prize unless and until Sponsor has completed its eligibility verification and has confirmed the entrant in writing as a verified winner. Any purported notification, congratulation, on air mention, social media post or other communication issued in error confers no right to a prize, and Sponsor reserves the right to correct any such error at any time.

8. PUBLICITY, NAME, LIKENESS AND RELEASE
A. Except where prohibited by law, acceptance of a prize constitutes the applicable winner's irrevocable consent to and grant to Sponsor, its parent companies, subsidiaries, affiliates, licensees, successors, assigns, agencies and designees of the perpetual, worldwide, irrevocable, royalty free, fully paid, transferable and sublicensable right and license to use, reproduce, publish, display, broadcast, transmit, distribute, edit, adapt and otherwise exploit that winner's first name, last initial or last name, city and state of residence, photograph, image, likeness, voice, video, statements, testimonials, social media handle and biographical information, in whole or in part, alone or in combination with other material, in any and all media now known or later developed, throughout the world, for purposes of advertising, marketing, publicity, promotion, trade and public relations relating to Sponsor, Democracy Clothing, the Sweepstakes and any successor promotion, without further notice, additional compensation, consideration, permission, or any right of review or approval.

B. Where the law of the winner's jurisdiction prohibits conditioning receipt of a prize on consent to publicity, that winner may decline the publicity consent described in Paragraph A by written notice to Sponsor at the time the winner returns the documents described in Section 7, and that winner’s prize will not be withheld on that basis. In that event, Sponsor may still disclose the winner's first name, last initial, city and state to the extent necessary to comply with Section 14 and with applicable law.

EXCEPT WHERE PROHIBITED BY LAW, EACH WINNER EXPRESSLY AND IRREVOCABLY WAIVES AND GIVES UP: ANY AND ALL RIGHTS TO INSPECT, REVIEW, APPROVE OR CONSENT TO ANY FINISHED PRODUCT, COPY, CAPTION, EDITING, CROPPING, ALTERATION, JUXTAPOSITION, COMPOSITE REPRESENTATION OR USE IN WHICH THAT WINNER'S NAME, LIKENESS, VOICE, STATEMENTS OR BIOGRAPHICAL INFORMATION APPEARS; ANY AND ALL RIGHTS OF ATTRIBUTION AND ANY MORAL RIGHTS OR RIGHTS OF A SIMILAR NATURE, HOWEVER DENOMINATED, IN ANY JURISDICTION; AND ANY AND ALL CLAIMS OF ANY NATURE, WHETHER NOW KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO ANY SUCH USE, INCLUDING CLAIMS FOR DEFAMATION, LIBEL, SLANDER, INVASION OF PRIVACY, INTRUSION, PUBLIC DISCLOSURE OF PRIVATE FACTS, FALSE LIGHT, MISAPPROPRIATION, VIOLATION OF THE RIGHT OF PUBLICITY, BLURRING, DISTORTION, ALTERATION, OPTICAL ILLUSION, FAULTY REPRODUCTION, INFLICTION OF EMOTIONAL DISTRESS, BREACH OF CONTRACT, UNFAIR COMPETITION AND UNJUST ENRICHMENT. EACH WINNER ACKNOWLEDGES THAT SPONSOR HAS NO OBLIGATION TO MAKE ANY USE OF THE RIGHTS GRANTED IN THIS SECTION 8, AND THAT ANY SUCH USE IS AT SPONSOR'S SOLE DISCRETION.

C. Each entrant, whether or not selected as a winner, agrees that Sponsor may use the entrant's information as described in Section 11 and may report aggregate, anonymized or de identified Sweepstakes statistics without restriction.

9. GENERAL CONDITIONS; RIGHT TO MODIFY, SUSPEND OR TERMINATE
A. Sponsor reserves the right, in its sole discretion and to the extent permitted by law, to cancel, terminate, suspend, extend, shorten or modify the Sweepstakes, in whole or in part, and to amend these Official Rules, if fraud, misconduct, tampering, unauthorized intervention, virus, bug, technical failure, printing or programming error, network or vendor failure, force majeure event, act of government, or any other cause beyond Sponsor's reasonable control corrupts or affects, or in Sponsor's determination threatens to corrupt or affect, the administration, security, fairness, integrity or proper conduct of the Sweepstakes. If the Sweepstakes is terminated or suspended before the stated end date, Sponsor may, in its sole discretion, select the Grand Prize winner for each affected participating market in a random drawing from among all eligible, non suspect entries associated with that participating market received before the event or action giving rise to the termination or suspension, or may elect not to award the affected Grand Prize(s), in each case to the extent permitted by law.

B. Sponsor reserves the right, in its sole discretion, to disqualify and to bar from future Sponsor promotions any person who Sponsor determines has tampered with or attempted to tamper with the entry process, the landing page, the drawing or the operation of the Sweepstakes; has violated or attempted to violate these Official Rules or any applicable law; has acted in a disruptive, abusive, threatening, harassing, fraudulent or unsportsmanlike manner toward Sponsor, its personnel, any media partner or any other entrant; or has otherwise attempted to undermine the legitimate operation of the Sweepstakes.

C. Any attempt by any person to deliberately damage, disable, overburden or impair any website, server, network or system associated with the Sweepstakes, or to undermine the legitimate operation of the Sweepstakes, may be a violation of criminal and civil law, and Sponsor reserves the right to seek injunctive relief, damages, restitution, disgorgement, costs and all other remedies available at law or in equity from any such person to the fullest extent permitted by law, including recovery of investigative and litigation costs.

D. Sponsor's failure to enforce any term of these Official Rules does not constitute a waiver of that term or of any other term.

10. RELEASE AND LIMITATION OF LIABILITY
A. "Released Parties" means Sponsor; Kellwood Company, LLC and each of its parent companies, subsidiaries, affiliates, members, managers, licensees, distributors and retailers; the participating television stations and media partners and each of their respective parent companies, subsidiaries, affiliates and station groups; each advertising, media, digital, public relations, promotion, fulfillment and administration agency and vendor engaged in connection with the Sweepstakes; Meta Platforms, Inc. and each other social media or technology platform through which the Sweepstakes may be promoted; and each of the respective officers, directors, members, managers, employees, contractors, representatives, agents, successors and assigns of each of the foregoing.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH ENTRANT, ON BEHALF OF THE ENTRANT AND THE ENTRANT'S HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS AND ASSIGNS, FULLY AND FOREVER RELEASES, DISCHARGES, INDEMNIFIES AND AGREES TO HOLD HARMLESS THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, LIABILITIES, LOSSES, DAMAGES, INJURIES, COSTS AND EXPENSES OF EVERY KIND, WHETHER KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, SUSPECTED OR UNSUSPECTED, AND WHETHER ARISING IN CONTRACT, TORT, STATUTE OR OTHERWISE, ARISING OUT OF OR RELATING IN ANY WAY TO: PARTICIPATION OR ATTEMPTED PARTICIPATION IN THE SWEEPSTAKES; THE COLLECTION, USE OR DISCLOSURE OF ENTRY INFORMATION AS DESCRIBED IN THESE OFFICIAL RULES; THE ACCEPTANCE, RECEIPT, POSSESSION, REDEMPTION, USE, MISUSE, LOSS, NON RECEIPT OR INABILITY TO USE ANY PRIZE OR ANY PRIZE COMPONENT; ANY TRAVEL OR ACTIVITY RELATED TO ANY PRIZE; AND ANY PERSONAL INJURY, BODILY INJURY, DEATH, PROPERTY DAMAGE, ECONOMIC LOSS, LOSS OF PRIVACY, DEFAMATION, VIOLATION OF THE RIGHT OF PUBLICITY OR INTELLECTUAL PROPERTY CLAIM ARISING FROM ANY OF THE FOREGOING.

B. The Released Parties are not responsible or liable for: lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered, garbled, corrupted or illegible entries or notifications; any inaccurate or incorrect information provided by an entrant, whether caused by the entrant, by any equipment or programming, or by any human error; interrupted, unavailable, congested or failed network, server, internet, telephone, cable, satellite, broadcast, email, application, website, hosting or other connection or service; any technical, hardware, software, browser, mobile device or programming malfunction, failure, delay or difficulty; any injury or damage to any person's computer, mobile device, data or property related to or resulting from participation in the Sweepstakes or from downloading any material in connection with the Sweepstakes; any unauthorized human or non human intervention in any part of the entry process or the Sweepstakes; or any error, omission, interruption, deletion, defect, delay in operation or transmission, theft, destruction or unauthorized access to or alteration of entries.

UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN, AND EACH ENTRANT KNOWINGLY AND VOLUNTARILY WAIVES, ALL RIGHTS TO CLAIM, PUNITIVE, EXEMPLARY, STATUTORY, MULTIPLIED, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR ANY OTHER DAMAGES OTHER THAN ACTUAL OUT OF POCKET EXPENSES INCURRED IN ENTERING THE SWEEPSTAKES, AND EACH ENTRANT FURTHER WAIVES ALL RIGHTS TO HAVE ANY DAMAGES MULTIPLIED OR OTHERWISE INCREASED. IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE RELEASED PARTIES TO ANY ENTRANT, ON ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SWEEPSTAKES, EXCEED THE GREATER OF THE ENTRANT'S ACTUAL OUT OF POCKET EXPENSES INCURRED IN ENTERING THE SWEEPSTAKES OR ONE HUNDRED DOLLARS ($100.00). EACH ENTRANT AGREES THAT THESE LIMITATIONS APPLY EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE FORM OF ACTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO CERTAIN OF THE FOREGOING LIMITATIONS MAY NOT APPLY TO A PARTICULAR ENTRANT. EACH ENTRANT EXPRESSLY WAIVES THE PROVISIONS OF CALIFORNIA CIVIL CODE SECTION 1542, AND ANY SIMILAR PROVISION OF THE LAW OF ANY OTHER JURISDICTION, WHICH READS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

11. PRIVACY
A. Personal information collected in connection with the Sweepstakes, including an entrant's name, email address, telephone number, physical mailing address and ZIP code, is collected by Sponsor and is used to verify eligibility, assign entries to the appropriate participating market, administer the Sweepstakes, conduct the drawing, contact and verify potential winners, fulfill prizes, satisfy tax reporting and recordkeeping obligations, detect and prevent fraud, enforce these Official Rules, and as otherwise described in Sponsor's Privacy Policy, available at PRIVACY POLICY which is incorporated into these Official Rules by reference.


B. Sponsor may disclose entrant information to service providers and contractors engaged to administer the Sweepstakes, fulfill prizes, provide technology services or provide tax and legal services, in each case subject to contractual restrictions on further use. Sponsor will not disclose an entrant's personal information to any participating television station or media partner for that party's own marketing purposes unless the entrant has separately and affirmatively consented to that disclosure.

C. If an entrant separately elects to receive marketing communications, Sponsor may use the entrant's information for that purpose in accordance with the Privacy Policy and applicable law, including the California Consumer Privacy Act as amended by the California Privacy Rights Act, the Telephone Consumer Protection Act and the CAN SPAM Act. Marketing consent is not a condition of entry, of eligibility or of winning, and may be withdrawn at any time in accordance with the Privacy Policy. Entrants may exercise applicable privacy rights as described in the Privacy Policy.

12. DISPUTE RESOLUTION; MANDATORY MEDIATION; BINDING INDIVIDUAL ARBITRATION; GOVERNING LAW PLEASE READ THIS SECTION 12 CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES YOU TO RESOLVE DISPUTES WITH SPONSOR THROUGH INFORMAL RESOLUTION, THEN MANDATORY MEDIATION, AND THEN BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. IT ALSO WAIVES YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION.

A. Governing law. These Official Rules, the Sweepstakes, and all matters arising out of or relating to either of them, including all questions of validity, interpretation, construction, performance, breach, enforcement, tort, statutory claims and remedies, are governed by and construed in accordance with the internal substantive laws of the State of California, without regard to any conflict of laws principle or rule that would result in the application of the law of any other jurisdiction. The Federal Arbitration Act, 9 U.S.C. sections 1 et seq., governs the interpretation and enforcement of the agreement to arbitrate set forth in Paragraph D, and the California Arbitration Act, California Code of Civil Procedure sections 1280 et seq., applies to the extent it is not inconsistent with the Federal Arbitration Act.

B. Mandatory informal resolution. Before initiating mediation, arbitration or any proceeding of any kind, the entrant must first send Sponsor a written Notice of Dispute by certified mail to Sponsor at the address stated in Section 15, Attention: Legal Department. The Notice of Dispute must state the entrant's full name, mailing address, email address and telephone number, describe the nature and basis of the claim in reasonable detail, identify the specific relief sought, and state the amount of any monetary relief sought and the basis for its calculation. Sponsor and the entrant will then attempt in good faith to resolve the dispute for a period of thirty (30) days after Sponsor's receipt of the Notice of Dispute. Compliance with this Paragraph B is a condition precedent to mediation and to arbitration, and the thirty (30) day period is intended to allow the parties to resolve the dispute informally.

C. Mandatory mediation as a condition precedent. If the dispute is not resolved within the thirty (30) day informal resolution period, the parties must submit the dispute to non binding mediation before Judicate West at its Santa Ana, California office located at 1851 East First Street, Suite 1600, Santa Ana, California 92705, before either party may commence arbitration. The following applies to the mediation:

1. The party seeking relief must file a request for mediation with Judicate West and serve a copy on the other party. The parties will select a single mediator by mutual agreement from the Judicate West panel within thirty (30) days after the request is filed. If the parties do not agree on a mediator within that period, Judicate West will provide a list of five (5) proposed mediators and the mediator will be selected in accordance with Judicate West's then current procedures.

2. The mediation session must be scheduled to occur, and the parties must attend, within sixty (60) days after the mediator is selected, unless the parties agree in writing to a later date. The mediation may be conducted in person at the Santa Ana office or by video conference as the mediator directs.

3. Each party must attend the mediation with a representative having full settlement authority and must participate in good faith. Each party bears its own attorneys' fees and costs of participating in the mediation. The parties will split equally the fees and costs of the mediator and the administrative fees and costs charged by Judicate West, except as otherwise provided in Paragraph G.

4. The mediation and all communications, offers, admissions, statements, writings and documents prepared for or exchanged in connection with the mediation are confidential and inadmissible to the fullest extent provided by California Evidence Code sections 1115 through 1128 and any other applicable law, and may not be used for any purpose in any subsequent arbitration, litigation or other proceeding.

5. Completion of the mediation session, or the other party's failure to participate in good faith after proper request, is a condition precedent to the commencement of arbitration. Any applicable statute of limitations or contractual limitations period is tolled from the date the Notice of Dispute is received through the date the mediation session concludes or the mediation otherwise terminates.

D. Binding individual arbitration. If the dispute is not resolved through informal resolution and mediation, then any and all disputes, claims, demands or controversies arising out of or relating in any way to the Sweepstakes, any entry, any prize, these Official Rules, Sponsor's advertising or promotion of the Sweepstakes, the collection or use of entrant information, or the relationship between the entrant and Sponsor, whether based in contract, tort, fraud, misrepresentation, statute, regulation, common law or any other legal theory, and whether arising before, during or after the Sweepstakes Period, must be resolved exclusively by final and binding individual arbitration administered by Judicate West at its Santa Ana, California office located at 1851 East First Street, Suite 1600, Santa Ana, California 92705, before a single neutral arbitrator, in accordance with the Judicate West Commercial Arbitration Rules then in effect, as modified by this Section 12. If Judicate West is unavailable or unwilling to administer the arbitration, the parties will select a comparable neutral arbitration provider with an office in Orange County, California by mutual agreement, and failing agreement, the Orange County Superior Court may appoint the provider or the arbitrator on the petition of either party.

1. The arbitrator, and not any federal, state or local court or agency, has exclusive authority to resolve all disputes concerning the interpretation, applicability, scope, enforceability, unconscionability, conscionability or formation of this Section 12, including any claim that all or any part of it is void or voidable, except that a court of competent jurisdiction has exclusive authority to determine the enforceability of the class action waiver in Paragraph E.

2. The arbitration will be conducted in the English language. The hearing will be held at the Judicate West Santa Ana office, except that at the entrant's written election the arbitration may be conducted by telephone, by video conference, or solely on the basis of written submissions without any personal appearance. Discovery will be limited to that which the arbitrator determines is necessary and proportionate to the claims asserted, and the arbitrator will apply the substantive law of the State of California and will honor all applicable claims of privilege.

3. The arbitrator may award only such individualized relief as is necessary to satisfy the individual claim of the party seeking relief, may not award relief to or on behalf of any person who is not a party to the arbitration, and may not award any relief that is inconsistent with the limitations set forth in Section 10 or elsewhere in these Official Rules. The arbitrator will issue a reasoned written award stating the essential findings and conclusions on which the award is based. The award is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

4. The arbitration, the existence of the arbitration, all filings, submissions, evidence, testimony, rulings and the award are confidential, and neither party may disclose them except as necessary to prepare for or conduct the arbitration, to enforce or challenge the award, as required by law, or to the party's counsel, accountants, insurers and auditors who agree to maintain confidentiality.

E. CLASS ACTION WAIVER. ALL CLAIMS AND DISPUTES MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS ONLY AND NOT ON A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, MASS, PRIVATE ATTORNEY GENERAL OR OTHER REPRESENTATIVE BASIS. EACH ENTRANT KNOWINGLY AND VOLUNTARILY WAIVES AND GIVES UP ANY RIGHT TO COMMENCE, PARTICIPATE IN, BE REPRESENTED IN, OR RECOVER ANY RELIEF THROUGH ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, COORDINATED ACTION, MASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND AGAINST ANY OF THE RELEASED PARTIES, WHETHER IN ARBITRATION, IN COURT OR IN ANY OTHER FORUM. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE PERSON, MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND MAY NOT CERTIFY ANY CLASS OR REPRESENTATIVE GROUP. IF A COURT OR ARBITRATOR DETERMINES THAT THIS CLASS ACTION WAIVER IS UNENFORCEABLE AS TO ANY PARTICULAR CLAIM OR REQUEST FOR RELIEF, THEN THAT CLAIM OR REQUEST FOR RELIEF, AND ONLY THAT CLAIM OR REQUEST FOR RELIEF, MUST BE SEVERED FROM THE ARBITRATION AND BROUGHT EXCLUSIVELY IN THE STATE OR FEDERAL COURTS LOCATED IN ORANGE COUNTY, CALIFORNIA, AND ALL REMAINING CLAIMS AND REQUESTS FOR RELIEF MUST PROCEED IN INDIVIDUAL ARBITRATION AS PROVIDED IN THIS SECTION 12. IN NO EVENT WILL ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING BE ARBITRATED.

F. JURY TRIAL WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH ENTRANT AND SPONSOR KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVE AND GIVE UP ANY AND ALL RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THE SWEEPSTAKES, ANY ENTRY, ANY PRIZE OR THESE OFFICIAL RULES. EACH ENTRANT ACKNOWLEDGES THAT BY AGREEING TO ARBITRATE AS PROVIDED IN THIS SECTION 12, THE ENTRANT IS GIVING UP THE RIGHT TO LITIGATE CLAIMS IN COURT BEFORE A JUDGE OR JURY, THE RIGHT TO CONDUCT DISCOVERY AS AVAILABLE IN COURT, AND THE RIGHT TO APPEAL ON THE MERITS, EXCEPT AS PROVIDED BY THE FEDERAL ARBITRATION ACT.

G. Fees, costs and expenses. Each party bears its own attorneys' fees, expert fees, witness fees and all other costs and expenses of the informal resolution process, the mediation and the arbitration, regardless of outcome, and neither party may recover attorneys' fees or costs from the other party in any proceeding except to the extent a statute or rule of law expressly provides a right to recover fees or costs that the parties may not lawfully waive, in which case that statute or rule controls. The parties will split equally, on a pro rata basis, the administrative fees and costs charged by Judicate West and the fees and costs of the mediator and of the arbitrator, consistent with California Code of Civil Procedure section 1284.2. Notwithstanding the foregoing, (i) Judicate West waives administrative fees and costs assessed against an indigent consumer as provided in California Code of Civil Procedure section 1284.3, (ii) no entrant will be required to pay any fee or cost of Sponsor, and (iii) Sponsor may elect, in its sole discretion and without prejudice, to advance or pay all or any portion of the mediation or arbitration fees and costs otherwise allocable to the entrant, and any such election does not modify this Paragraph G as to any other dispute or entrant.

H. Limitations period. To the fullest extent permitted by law, any claim arising out of or relating to the Sweepstakes, any entry, any prize or these Official Rules must be brought, by delivery of the Notice of Dispute described in Paragraph B, within one (1) year after the date on which the claim first accrued. A claim not asserted within that period is permanently barred.

I. Forum for non arbitrable matters. For any claim or dispute that is not subject to arbitration under this Section 12, including any application for provisional or injunctive relief in aid of arbitration, any proceeding to compel or enforce arbitration, any proceeding to confirm, correct, vacate or enforce an award, and any claim severed under Paragraph E, the parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Orange County, California, waive any objection to that jurisdiction or venue based on personal jurisdiction, improper venue or inconvenient forum, and waive any right to seek transfer of the proceeding to any other court.

J. Severability and survival. If any portion of this Section 12 other than the class action waiver in Paragraph E is found to be unenforceable, that portion will be severed and the remainder of this Section 12 will be enforced to the maximum extent permitted by law. This Section 12 survives the termination of the Sweepstakes, the award or forfeiture of any prize, and any disqualification of any entrant.

13. SOCIAL MEDIA PLATFORM DISCLAIMER
The Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Meta Platforms, Inc., Facebook, Instagram, Google, YouTube, TikTok, Snap, Pinterest, or any other social media, search or technology platform through which the Sweepstakes may be promoted. Each entrant releases each such platform from any and all responsibility and liability relating to the Sweepstakes and acknowledges that entrant information is provided to Sponsor and not to any such platform, except to the extent a platform independently collects information under its own terms of service and privacy policy, which govern that collection. Each entrant is responsible for complying with the terms of service of any platform the entrant uses in connection with the Sweepstakes.

14. WINNER LIST
For the first name, last initial, city and state of each verified winner, send a written request with a self addressed stamped envelope to: "The Ultimate Fall Fit Sweepstakes Winner List," Kellwood Company, LLC, 13071 E. Temple Ave, City Of Industry, CA 91746. Requests must be postmarked no later than December 31, 2026 and received no later than January 15, 2027. Residents of Vermont may omit return postage. Sponsor may, in its discretion, satisfy this Section 14 by posting each verified winner's first name, last initial, city and state on the official Sweepstakes landing page for a period of at least thirty (30) days following confirmation of that winner. No other entrant or winner information will be provided.

15. SPONSOR AND ADMINISTRATOR
Sponsor: Kellwood Company, LLC, a Delaware limited liability company, doing business as Democracy Clothing, 13071 E. Temple Ave, City Of Industry, CA 91746. Administrator: Sponsor acts as its own administrator. All notices to Sponsor under these Official Rules must be sent to the foregoing address, Attention: Legal Department.

16. AGREEMENT TO OFFICIAL RULES; ENTRANT REPRESENTATIONS AND WAIVERS
A. Submission of an entry constitutes the entrant's full and unconditional agreement to and acceptance of these Official Rules and of Sponsor's decisions, which are final and binding in all matters relating to the Sweepstakes. Each entrant represents and warrants that the entrant meets all eligibility requirements, that all information submitted is true, accurate, current and complete, that the entrant is entering on the entrant's own behalf and not on behalf of any other person or entity, and that the entrant has read and understands these Official Rules, including Sections 5, 8, 10 and 12.

B. Each entrant acknowledges that the entrant has had the opportunity to review these Official Rules before entering, that no representation, statement, inducement or promise of any kind has been made to the entrant other than as expressly set forth in these Official Rules, and that the entrant is not relying on any such representation, statement, inducement or promise.

EACH ENTRANT ACKNOWLEDGES AND AGREES THAT THESE OFFICIAL RULES ARE DRAFTED BY SPONSOR, THAT THE ENTRANT NEVERTHELESS ENTERS VOLUNTARILY AND WITHOUT ANY OBLIGATION TO DO SO, AND THAT THE RULE OF CONSTRUCTION REQUIRING THAT AMBIGUITIES BE RESOLVED AGAINST THE DRAFTING PARTY, INCLUDING CALIFORNIA CIVIL CODE SECTION 1654, IS EXPRESSLY WAIVED AND WILL NOT BE APPLIED IN THE INTERPRETATION OF THESE OFFICIAL RULES.

17. INTELLECTUAL PROPERTY
A. All trademarks, service marks, trade names, logos, copyrights, designs and other intellectual property associated with Sponsor, Kellwood Company, LLC, Democracy Clothing and the Sweepstakes are the exclusive property of their respective owners. No right or license to use any of the foregoing is granted by these Official Rules or by participation in the Sweepstakes, and no entrant may use, reproduce, register or exploit any such property for any purpose without Sponsor's prior written consent.

B. To the extent an entrant submits or transmits to Sponsor any content, comment, image, video, testimonial, suggestion, idea or other material in connection with the Sweepstakes, the entrant grants Sponsor a perpetual, irrevocable, worldwide, royalty free, fully paid, non exclusive, transferable and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display and otherwise exploit that material in any and all media for any purpose, without attribution, notice, review, approval or compensation, and waives any moral rights and any right of inspection or approval with respect to that material. The entrant represents and warrants that the entrant owns or controls all rights necessary to grant that license and that the material does not infringe or violate the rights of any third party.

18. MISCELLANEOUS
A. Severability. If any provision of these Official Rules is held to be invalid, illegal, void or unenforceable in whole or in part, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, will be severed, and the remaining provisions will remain in full force and effect. Section 12, Paragraph E is subject to the specific severability rule stated in that paragraph.

B. No third party beneficiaries. Except for the Released Parties identified in Section 10, who are intended beneficiaries of the releases, waivers and limitations in these Official Rules and may enforce them directly, these Official Rules do not confer any right or remedy on any person who is not a party.

C. Assignment. Sponsor may assign or transfer these Official Rules and its rights and obligations under them, in whole or in part, to any parent, subsidiary, affiliate, successor or acquirer without notice or consent. No entrant may assign or transfer any right, claim or obligation under these Official Rules, and any attempted assignment is void.

D. Headings and construction. Section headings are for convenience only and do not affect interpretation. "Including" means "including without limitation." References to a number of days mean calendar days unless business days are specified.

E. Language and controlling version. These Official Rules are executed and available in the English language, which governs in all respects. In the event of any discrepancy between the English language version and any translation or abbreviated version, the English language version posted on the official Sweepstakes landing page controls.

F. Entire agreement. These Official Rules, together with Sponsor's Privacy Policy as incorporated in Section 11, constitute the entire agreement between each entrant and Sponsor with respect to the Sweepstakes and supersede all prior or contemporaneous advertisements, communications, representations and understandings, whether written or oral, relating to the Sweepstakes.

G. Electronic acceptance. Each entrant agrees that the entrant's electronic submission of an entry, including the act of checking a box or clicking a button indicating acceptance of these Official Rules, constitutes the entrant's electronic signature and manifests the entrant's assent to these Official Rules with the same force and effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act and the California Uniform Electronic Transactions Act.

H. Retention of records. Sponsor may retain entry records, verification documents, tax documentation and Sweepstakes records for such period as Sponsor determines necessary for legal, tax, audit, regulatory and recordkeeping purposes, notwithstanding the conclusion of the Sweepstakes.
